TERMS OF SERVICE
This Terms of Service Agreement ("Agreement") is entered into between Main Sequence
("Provider," "us," or "we") and the user ("Client" or "you"), collectively referred to as "Parties,"
governing the use of the development platform for asset management ("Platform").
1. Service Provision
Main Sequence shall provide access to its development platform for asset management to
the Client under the terms herein. The Platform will be maintained by Main Sequence to
ensure its operational efficiency, security, and performance.
2. Access to Client Development Work
Main Sequence agrees not to access or inspect any code, assets, data, or development
activities conducted by the Client on the Platform except under the following circumstances:
● Upon direct request by the Client for technical support.
● Indirectly during necessary maintenance, platform patches, updates, or security
implementations required to ensure the proper functioning and integrity of the
Platform.
3. Client Data
Main Sequence will not intentionally preserve, store, or archive any data provided by the
Client. The Client is responsible for backing up and preserving its own data and materials.
4. Intellectual Property Rights
Main Sequence acknowledges that all intellectual property rights in the Client’s code, data,
integrations, configurations, and other assets developed or provided by the Client through
the Platform shall remain exclusively with the Client. Main Sequence does not claim, nor will
it acquire or divulge, any intellectual property rights in Client-created content or materials.
5. Confidentiality
Both Parties agree to maintain the confidentiality of proprietary information disclosed by the
other party and not to disclose such information to any third parties without prior written
consent, except as legally required.
6. Liability and Disclaimers
● Best Efforts Basis: Main Sequence shall provide the Platform and related services
on a best-efforts basis. The Platform is provided "as-is," without guarantees or
warranties of any kind, either express or implied.
● Limitation of Liability: Main Sequence expressly excludes all liability for damages,
including but not limited to, direct, indirect, incidental, consequential, special, or
exemplary damages arising from or related to Client’s use of, or inability to use, the
Platform.
● Breach and Security: Main Sequence shall not be liable for any security breaches,
data loss, corruption, unauthorized access, or other damages resulting from the
Client’s use of the Platform, notwithstanding its best efforts to maintain secure and
stable operations.
7. Usage Restrictions
The Client agrees to use the Platform in compliance with applicable laws and regulations
and shall not engage in activities that compromise the security, integrity, or operational
performance of the Platform.
8. Suspension and Termination
Main Sequence reserves the right to suspend or terminate Client’s access to the Platform
immediately if the Client breaches these terms, compromises security, or engages in
prohibited activities.
This Agreement shall remain effective until terminated by either party upon written notice.
Termination will not relieve either Party from any obligations arising or accrued prior to
termination.
9. Cloud Resources and Availability
Main Sequence reserves the right to manage, optimize, allocate, or reallocate cloud
computing resources as necessary. Main Sequence does not guarantee continuous
availability, uptime, or uninterrupted service of the Platform and explicitly disclaims
responsibility for downtime or interruptions.
10. Third-party Compliance
The Client agrees to comply with all applicable terms imposed by third-party cloud providers
or infrastructure suppliers used by Main Sequence. Main Sequence is not responsible for
disruptions or failures caused by third-party providers.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Main Sequence, its affiliates,
directors, officers, employees, and agents from and against any claims, damages, liabilities,
costs, or expenses arising from the Client’s use or misuse of the Platform or any violation of
this Agreement.
12. Amendments
Main Sequence reserves the right to modify these Terms of Service at its discretion, with
advance notice provided to the Client. Continued use of the Platform constitutes acceptance
of amended terms.
13. Force Majeure
Main Sequence shall not be liable or responsible for delays, failures, or interruptions in
providing the Platform due to circumstances beyond its reasonable control, including but not
limited to natural disasters, acts of government, war, terrorism, network disruptions, or
technical failures.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the
jurisdiction where Main Sequence is headquartered, without regard to conflict of laws
principles.
15. Entire Agreement
This Agreement constitutes the entire agreement between Main Sequence and the Client,
superseding all previous understandings, discussions, or negotiations, written or oral.
16. Severability
If any provision of this Agreement is held invalid or unenforceable, that provision shall be
severed from this Agreement, and the remaining provisions shall remain in full force and
effect.
Acceptance
By using the Platform, the Client acknowledges and accepts all terms and conditions
outlined in this Agreement.
